Terms and Conditions — London 2012 Olympic Football Naming Competition

  1. Acceptance of these terms and conditions is a condition of entry and the entry instructions form part of these terms and conditions. By entering into this competition you and your parent/guardian (if relevant) agree to be legally bound by these terms and conditions. The Promoter reserves the right, at its discretion, to exclude any entrant and/or any winner if he/she does not comply with any of these terms and conditions.
  2. Entrants to this competition must be resident in the UK. Entries are limited to one entry per person. If more than one entry is received only the first entry received will be accepted.
  3. Purchase is not necessary.
  4. You must be 13 years old or over to enter this competition and proof of age may be required. If under 13 years of age, you may ask your parent/guardian to enter on your behalf.
  5. This competition is not open to employees of the Promoter and its affiliates or agents, the families of such employees and any other person connected with this competition.
  6. Entrants must obtain parental/guardian's permission if under 18. If the entrant is not yet 18 years of age, the entrant's parent or legal guardian should review these terms and conditions to give the entrant their permission to enter this competition.
  7. To enter this competition, entrants must submit their naming ideas for the London 2012 Olympic Football by filling in all requested details (in full) on www.adidas.co.uk/nametheball. Entries will not be accepted by any other means. This competition closes on 28/02/11 at 23:59.
  8. All entries received by 28/02/11 (last entry time 23:59) will be entered into this competition. All accepted entries will then be judged during March 2011 by a panel appointed at the discretion of the Promoter to find a top 10 entries. These top 10 entries will then be submitted to legal clearing. The winning entry will be selected by the Promoter. The winner will be notified by email before the end of April 2011. The decision by the judging panel and by the Promoter is final. No correspondence will be entered into.
  9. The Promoter accepts no responsibility for any disappointment incurred or suffered by any entrant as a result of entering this competition or accepting the prize.
  10. If the chosen winner fails to confirm acceptance of the prize within 7 days of notification, the Promoter reserves the right to select an alternative winner. Alternatively, the original winner's entry may be used as the winning name (and the terms of this competition, including relating to ownership of the name, will apply) but the entrant will not be entitled to the prize.
  11. The Promoter has the right to refuse any entry which contains material which is offensive (including the use of foul language) or defamatory, or incites and/or promotes violence or hatred or which discriminates, threatens or infringes the rights of third parties, or which the Promoter deems in its sole discretion is otherwise unacceptable.
  12. The winner will win 2 x tickets to the 2011 UEFA Champions League Final at Wembley on Saturday 28 May 2011 (kick off 19:45). The winner may also be asked to help unveil the ball design on a date to be decided in 2012. If the winner is aged under 18, they must be accompanied at the UEFA Champions League Final by an adult and use the extra ticket for this purpose.
  13. The winner will be responsible for all travel and other expenses (including, without limitation, accommodation, match programmes and food/drink) that may be associated with the acceptance of the prize as stated; these will not be reimbursed by the Promoter.
  14. The prize is as stated and cannot be transferred or exchanged and the winner agrees not to sell, offer to sell or use the prize for any commercial or promotional purpose (including placing the prize on an internet auction site). There is no cash offer or other alternative to the prize stated. The Promoter reserves the right to substitute a prize of equal or greater value in the event that circumstances beyond its control mean that the prize described above cannot be provided to a winner.
  15. The Promoter shall not be liable in the event that the UEFA Champions League Final match does not take place or is abandoned, postponed, rearranged or curtailed or a winner can no longer attend.
  16. UEFA Champions League Final match tickets remain the property of the Promoter and are issued subject to any applicable Wembley Stadium or UEFA regulations. Please keep the match tickets safe and in good condition as no replacement ticket will be issued if a ticket is lost or stolen.
  17. By submitting your contact details to us and by entering this competition, you agree to the Promoter using your name, photograph, video, voice recording and general location for their publicity and news purposes during this and any future promotions or advertising.
  18. The Promoter will use the information which you provide or which we obtain from our dealings with you, to administer this competition and the prize. By entering you agree to allow us to use your data to contact you regarding direct marketing for products and services of the Promoter and other members of the adidas Group.
  19. The Promoter will not pass on your personal details to any other organisation without your permission, except for the purpose of managing the competition process.
  20. To the maximum extent permitted by law, the Promoter and its suppliers shall not be liable for any claims or actions of any kind whatsoever for damages or losses to persons and property which may be sustained in connection with the participation in this competition or the receipt, ownership and/or use of the prize.
  21. Responsibility will not be accepted for loss, delay and corruption of any data in transit or in the incomplete nature of any entries to this competition.
  22. The name and region of the winner may be obtained by sending a stamped self addressed envelope to the following address within 3 months of 01/05/11: London 2012 Olympics Football Naming Competition, adidas Customer Care, PO BOX 1512, Chelmsford, Essex, UK, CM1 3YB.
  23. The Promoter reserves the right to amend and/or withdraw this competition at any time without prior notice.
  24. By entering into this competition, entrants agree that all intellectual property rights in and to an entry name (even if not selected as the winning entry) shall belong absolutely and exclusively to the Promoter (or such other company as the Promoter shall designate) to the extent permitted by law. Entrants agree to assign, or to procure the assignment to the Promoter (or such other company as the Promoter shall designate) of all such right, title and interest in and to such intellectual property rights to the extent permitted by law. Entrants further agree to execute and/or procure the execution of, such documents, and do, and/or procure the doing of, all such acts and/or things as are required for the purpose of giving effect to this assignment.
  25. Without limit to the generality of the foregoing, entrants acknowledge and agree that the Promoter and any other company designated by the Promoter may use (but are under no obligation to use) an entry name at any time on and in relation to any adidas Group product or otherwise.
  26. Entrants are not entitled to any compensation in return for the assignment of rights pursuant to Clause 24 above or for any use of an entry name pursuant to Clause 25 above.
  27. The Promoter is not obliged to use the winning name on or in relation to the official match ball used at the London 2012 Olympic Games and reserves its right to adopt an alternative name (regardless of whether that name was submitted as an entry as part of this competition).
  28. By entering this competition entrants warrant and represent that all works comprised in the entry name submitted are his/her own original work and do not copy nor incorporate the work of any other third party and that use of the entry name on or in relation to adidas Group products or otherwise will not infringe the intellectual property rights or other rights of any third party. Entrants further agree to identify in their submission details of any registrations or pending applications that they have for an entry name.
  29. By entering this competition, entrants irrevocably and unconditionally waive any moral rights of any nature in or in relation to any work comprised in the entry name, to the extent permitted by law. Without limit to the generality of the foregoing, entrants agree and shall procure that neither the Promoter nor any other company is obliged to identify any entrant as author of the work unless required by law.
  30. By entering this competition entrants agree to indemnify and hold us harmless, our subsidiaries, affiliates, related parties, officers, directors, employees, agents, independent contractors, advertisers, partners, and co-branders from any claim or demand, including reasonable legal fees, that may be made by any third party, that is due to or arising out of your conduct or connection with this competition, your breach of these terms and conditions or any other breach of the rights of another person or party.
  31. If any of these terms and conditions are found by a competent court or other competent authority to be void or unenforceable, that term or condition shall be deemed to be deleted and the remaining terms and conditions shall continue in full force and effect.
  32. This competition shall be governed by English law and the courts of England shall have exclusive jurisdiction in relation to any disputes arising wherefrom.
